Terms of Service

1.1 Acceptance. By creating an account or using Big State AI ("BSA," "the Service"), you agree to these Terms. If you use BSA on behalf of a company, you represent that you have authority to bind it.

1.2 What BSA is. BSA is software that generates, analyzes, and converts project schedules (including CPM schedules and exports to Primavera P6 XER and Microsoft Project formats) from the information you provide. BSA is a drafting and analysis aid, not a licensed professional service. See the AI-Output & Professional Notice in §2 — it is part of these Terms.

1.3 Accounts. You are responsible for the activity under your account and for keeping your credentials secure. One person or entity per account unless a team plan is offered.

1.4 Credits & payment. BSA uses prepaid credits. You purchase credit packs through our payment processor (Stripe); AI actions (e.g. generating or revising a schedule) consume credits at the rates shown in-app at the time of the action. Deterministic actions (edits, exports, template outputs) consume no credits. Purchased credits do not expire. Prices and credit rates may change prospectively; changes do not affect credits you have already purchased. Refunds are governed by §3.

1.5 Your content and data rights. You retain all ownership of the schedules, narratives, documents, and other materials you upload or generate ("Your Content"). You grant BSA a limited license to process Your Content solely to provide the Service to you. BSA does not use the identifiable content of your schedules to train models or build shared libraries. BSA may use aggregated, de-identified patterns to improve the Service only where you have given separate, explicit consent. We do not sell Your Content.

1.6 Acceptable use. Do not use BSA to violate law, infringe others' rights, upload malware, or attempt to reverse-engineer, resell, or overload the Service.

1.7 Service availability. BSA is provided on an "as available" basis during this research/beta period and may change or experience interruptions. We aim to keep your purchased credit balance durable and recoverable.

1.8 Disclaimers. THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. BSA DOES NOT WARRANT THAT ANY SCHEDULE OR OTHER OUTPUT IS ACCURATE, COMPLETE, CONSTRUCTABLE, CODE-COMPLIANT, OR SUITABLE FOR SUBMISSION OR CERTIFICATION.

1.9 Limitation of liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIG STATE SOLUTIONS, LLC AND ITS OWNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DELAY, DISRUPTION, OR SCHEDULE/PROJECT IMPACT, ARISING FROM YOUR USE OF OR RELIANCE ON THE SERVICE OR ITS OUTPUTS. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID TO BSA IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

1.10 Indemnity. You agree to indemnify Big State Solutions, LLC against claims arising from Your Content or your use of the Service in violation of these Terms.

1.11 Termination. You may stop using BSA at any time. We may suspend or terminate accounts that violate these Terms. Purchased credits are non-refundable except as required by law or as provided in §3.

1.12 Governing law. These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. Venue lies in the state or federal courts located in Texas.

1.13 Changes. We may update these Terms; material changes will be posted with a new "last updated" date and, where appropriate, notice in-app.
